ELLACTOR S.A. (hereinafter referred to as the "Company"), following its announcements dated 11.04.2025 and 10.09.2025, informs investors that the transfer from REDS M.A.E., a wholly owned subsidiary of ELLAKTOR, to subsidiaries of "DIMAND", of real estate with a total area of 323.4 thousand sq.m. in Attica, at the locations "Ktima Kampa" and "Trigono Kampa," in the municipalities of Paiania and Pallini.
Specifically, the transfer was completed:
100% of the share capital of KANTZA EMPORIKI M.A.E. (whose sole shareholder is REDS M.A.E.), owner of plots of land with a total area of approximately 319,000 sq.m., in the location "Ktima Kampa", in the municipalities of Paiania and Pallini, to ARCELA LTD (a 100% subsidiary of DIMAND).
Two additional plots of land, with an area of approximately 4.4 thousand sq.m. and 1.3 thousand sq.m., the second of which has a listed building with an area of approximately 0.7 thousand The two plots owned by REDS M.A.E. are located in the "Trigono Kampa" area of the Municipality of Pallini. The total price of the transaction amounted to €45.8 million and was determined taking into account the financial position of KANTZA EMPORIKI M.A.E.

Dimand's announcement
Following the relevant announcement dated 11.04.2025, "DIMAND" announces to the investing public that the transfer from REDS M.A.E. to ARCELA LTD, a 100% subsidiary of the Company, of 100% of the share capital of KANTZA EMPORIKI M.A.E., owner of a total area of 319,000 sq.m. located in the Kampa estate area, in the municipalities of Pallini and Paiania.
The price for the above acquisition amounted to €44.6 million and was calculated taking into account the financial position of the company at the completion of the transaction using the adjusted net asset value method.
In addition, THOMAIS REAL ESTATE S.A., a wholly owned subsidiary of the Company, acquired from REDS S.A. a plot of land with an area of approximately 4.4 thousand sq.m. and a plot of land with an area of approximately 1.3 thousand sq.m. on which there is a listed building of 0.7 thousand sq.m., for a consideration of €1.17 million.
The two plots are located in Trigono Kampa in the municipality of Pallini. The above transactions were financed with loan capital.
