Following its announcements on October 13, 2025, November 7, 2025, and January 8, 2026, the public limited company under the name "Organismos Prognostikon Agonon Podosfairou S.A." (the "Company") informs investors that on February 24, 2026:
The process of splitting the Company by spinning off its gaming division and contributing it to a newly established public limited company, a wholly owned subsidiary of the Company (the "Beneficiary Company"), in accordance with Article 54(3), Article 57(3), Articles 59 to 74 and 140 of Greek Law 4601/2019, Article 28(3)(l) of Greek Law 4002/2011 and the provisions of Greek Law 4548/2018, as applicable (the "Spin-off"), was completed with the registration in the General Commercial Registry (GEMI) of Decision No. 40289AP/24-02-2026 of the Ministry of Development (GEMI registration number 5968042). From the date of completion of the Spin-off:
(a) The Beneficiary Company, under the name "Organization for Football Prediction Games Single-Member Limited Liability Company," based in Athens (112 Athinon Avenue, Postal Code 104 42) and GEMI number 191625301000, becomes the universal successor to all the assets and liabilities of the gambling branch transferred to it.
Within the framework of this universal succession, the Beneficiary Company automatically and without any further formalities replaces the Company in all its rights, obligations, andlegal relationships, including concession agreements and all types of administrative licenses issued in favor of the Company, to the extent that they relate to the gaming sector, and this transfer constitutes universal succession.
(b) The Company has become the sole shareholder of the Beneficiary Company.
(c) The name of the Company has been changed from "Organismos Prognostikon Agonon Podosfairou S.A." to "OPAP Holdings S.A." and its distinctive title from "OPAP S.A." to "OPAP Holdings."
Cancellation of treasury shares
"ΟΡΓΑΝΙΣΜΟΣ ΠΡΟΓΝΩΣΤΙΚΩΝ ΑΓΩΝΩΝ ΠΟΔΟΣΦΑΙΡΟΥ Α.Ε." (hereinafter referred to as the "Company") announces that the Extraordinary General Meeting of the Company's Shareholders held on January 7, 2026, decided, among other things, to cancel 11,459,263 treasury shares acquired by the Company under approved treasury share acquisition programs, with a corresponding reduction in its share capital by €3,437,778.9, in accordance with Article 49 of Greek Law 4548/2018 and amendment of Article 5 of the Company's Articles of Association.
Following this reduction, the Company's share capital now amounts to €107,581,043.40, divided into 358,603,478 registered and indivisible shares, with a nominal value of thirty cents (€0.30) each.
On February 20, 2026, the following was registered in the General Commercial Registry (G.E.M.I.) decision no. 4026544AP/2026 of the Ministry of Development was registered, approving the amendment of the relevant article 5 of the Company's Articles of Association, while the Athens Stock Exchange (ASE) was informed on February 24, 2026, of the cancellation of the shares and the consequent reduction of the share capital.
Following the above, February 27, 2026, was set as the date of cancellation and delisting of the above treasury shares from the ATHEX, on which date their trading on the ATHEX will cease.
Change of name
"ORGANISMOS PROGNOSTIKON AGONON PODOSFAIROU S.A." (hereinafter referred to as the "Company") announces that the Extraordinary General Meeting of the Company's Shareholders held on January 7, 2026, decided, among other things, to amend Articles 1 (Establishment-Name) and 2 (Purpose) of the Company's Articles of Association as a result of the demerger of the Company through the spin-off of the gaming business and the change of its name from "ΟΡΓΑΝΙΣΜΟΣ ΠΡΟΓΝΩΣΤΙΚΩΝ ΑΓΩΝΩΝ ΠΟΔΟΣΦΑΙΡΟΥ Α.Ε." (Football Prediction Organization S.A.) with the distinctive title "ΟΠΑΠ Α.Ε." (OPAP S.A.) to "ΟΠΑΠ Συμμετοχών Ανώνυμη Εταιρεία" (OPAP Holdings S.A.) with the distinctive title "ΟΠΑΠ ΣΥΜΜΕΤΟΧΩΝ" (OPAP Holdings).
For its transactions abroad, the Company will use its name in a faithful translation (OPAP Holding Societe Anonyme) and its distinctive title in Latin or other characters (OPAP Holding).
On February 24, 2026, the Ministry of Development, by its decision, which was registered on the same day in the General Commercial Registry (G.E.M.I.), approved the above amendment to Article 1 of the Company's Articles of Association and the change of name and distinctive title.
The Athens Stock Exchange was informed of the above decision on February 24, 2026.
Following the above, by decision of the Company, it is determined that as of February 25, 2026, the name of the Company on the Athens Stock Exchange will change to "OPAP Holdings S.A." with the distinctive title "OPAP HOLDINGS".
It should be noted that the OASIS code of the Company's share will not change.
