ADMIE’s Extraordinary General Meeting on Thursday, June 11, at 4:00 p.m., which will be held entirely with the participation of Shareholders remotely in real time via teleconference and without their physical presence at the venue, in order to discuss and decide on the following sole item on the agenda:
SINGLE ITEM ON THE AGENDA
SINGLE ITEM: Increase of the Company’s share capital, in accordance with Article 24, paragraph 1, item b, of Law 4548/2018, up to the amount of €530,000,000. Waiver of preemptive rights of existing shareholders, in accordance with Article 27, paragraph 1, of Law 4548/2018.
Authorization of the Company’s Board of Directors to increase the Company’s share capital, to determine the terms of the share capital increase, as well as the manner and other terms of the offering of the shares to be issued.
In the event that the quorum required by law and the Articles of Association for the adoption of a resolution on the above items of the Agenda is not achieved, any Repeat General Meeting will be held on June 17, 2026, on Wednesday at 10:00 a.m., in the same manner, that is, it will be held entirely with the participation of Shareholders remotely in real time via teleconference and without their physical presence at the venue, in accordance with Article 125 of Law 4548/2018 and Article 8, paragraph 1 of the Company’s Articles of Association.
The sole item on the agenda of any Repeat Extraordinary General Meeting will be the same as that mentioned above, since, in accordance with Article 130, (2) of Law 4548/2018, as currently in force, no new notice will be published.
