The Board of Directors of “Y/KNOT Invest S.A.”, at its meeting on May 28, 2026, having taken into account (i) the relevant recommendation of Management, (ii) the draft of the proposed Private Commercial Lease Agreement, and (iii) the Valuation Report dated May 26, 2026, prepared by the Independent Certified Public Accountant Mr. Andreas E. Antoniadis, SOEL Reg. No. 39861, of KRESTON GREECE S.A., SOEL Reg. No. 156, unanimously decided and granted, in accordance with Articles 100 and 101 of Law 4548/2018, a license for the conclusion of a private commercial lease agreement between the Company as Lessee and the affiliated party “PARITZO COMMERCIAL, TOURISM AND CONSTRUCTION S.A.” as Lessor, and specifically the commercial lease of premises for primary use (office) with a total area of 370 square meters, of which 170 sq. m. on the first floor and 200 sq. m. in the basement, as well as eight parking spaces, in a two-story building consisting of a ground floor and one (1) floor above the ground floor, located in Kifissia, Attica, at 14 Platanon Street, under the following main terms:
The lease term will be three years, while the monthly rent will amount to seven thousand eight hundred eighty euros (€7,880) plus a 3.6% Digital Transaction Fee and will remain fixed throughout the term of the lease.
In the event of a change in the leased area and/or the number of parking spaces, the monthly rent payable will be adjusted proportionally, based on: (a) the amount of twenty euros (€20.00) per square meter per month for primary use areas, and (b) the amount of sixty euros (€60.00) per month for each parking space.
The relevant change shall be evidenced exclusively by a written agreement between the parties, specifying the new leased area and/or the number of parking spaces, the total adjusted monthly rent, and the effective date of the change. The Leased Premises shall be used by the Company exclusively as its headquarters and offices, and any change in such use is expressly prohibited without the prior written consent of the Lessor.
The Lessor proposed above is an affiliated party of the Company pursuant to the provisions of Article 99 of Law 4548/2018, as currently in force, as Mr. Panagiotis Tzortzis, Chairman of its Board of Directors, is also a member of the Company’s Board of Directors.
Pursuant to Article 100(3) of Law 4548/2018, within ten days of the publication of this announcement, shareholders representing 1/20 of the share capital may request the convening of a General Meeting to decide on the issue of granting the license.
