ELLACTOR S.A. (hereinafter the “Company” or “Issuer”) hereby announces, regarding the notification it received on June 8, 2026, from one of its shareholders concerning a change in the shareholder’s stake in the Company’s share capital and voting rights, as follows:
The shareholder REGGEBORGH INVEST B.V. (“REGGEBORGH”) notified that, on June 3, 2026 (transaction date), it transferred 17,522,350 common registered voting shares, representing 5.0323% of the Issuer’s share capital and voting rights, through an over-the-counter (OTC) transaction.
Following the above, REGGEBORGH now holds 207,500,000 shares and voting rights, corresponding to a total direct stake of 59.594% of the Issuer’s share capital and voting rights (compared to 225,022,350 shares and voting rights, representing a 64.626% stake, prior to the transaction), with no indirect participation.
Taking into account the Company’s treasury shares, namely 2,106,582 shares, REGGEBORGH INVEST B.V.’s stake in the Company’s share capital and voting rights amounts to 59.956%.
REGGEBORGH INVEST B.V. is not controlled by any natural person or legal entity, in accordance with Article 3 of Law 3556/2007.
