AUSTRIACARD HOLDINGS AG (the “Company”) hereby announces, in accordance with the provisions of Article 19(3) of Regulation (EU) No 596/2014 and Article 4.1.1 (9) of the Euronext Athens Rules, that on June 12, 2026, the Company was notified by Supervisory Board member Mr. Nikolaos Lykos that the Irrevocable Commitment Agreement, namely Mr. Lyko’s agreement to accept the Voluntary Public Tender Offer from Dai Nippon Printing Co., Ltd., for his 27,114,422 shares at a price of 10 euros per share, became unconditional upon the publication of the Information Memorandum on June 12, 2026.
