It is hereby announced that, following the resignation of the Independent Non-Executive Member of the Board of Directors, Mr. Konstantinos-Nikolaos Niarchos, the Board of Directors, at its meeting on June 3, 2026, decided to reorganize itself as follows:
1. John-Paul Gagnum, son of Helge, Chairman of the Board and Chief Executive Officer, Executive Member,
2. Petros-Fotios Fatouros, son of Christos, Vice Chairman of the Board of Directors, Non-Executive Member,
3. Antonios Chlouverakis, son of Emmanouil, Independent Non-Executive Member and statutory alternate in the event of the Chairman’s or Vice Chairman’s inability to serve,
4. Irini Saranti, daughter of Dimitrios, Independent Non-Executive Member,
5. Sarantis Chiotis, son of Christos, Non-Executive Member
In light of the above, the composition of the Board of Directors’ Committees is as follows:
(a) Audit Committee: Georgios Megas, independent non-executive member of the Board of Directors, Chairman of the Committee; Antonios Chlouverakis, independent non-executive member of the Board of Directors; Irini Saranti, independent non-executive member of the Board of Directors
(b) Nominating and Compensation Committee: Antonios Chlouverakis, independent non-executive member of the Board of Directors; Irini Saranti, independent non-executive member of the Board of Directors; Sarantis Chiotis, non-executive member of the Board of Directors.
The term of office of the Board of Directors, as reconstituted above, remains as determined by the General Meeting of January 30, 2023, namely expiring on January 30, 2029.
