Unibios S.A. Holdings (the “Company”) announces that on June 30, 2026, a cross-border merger agreement was signed between its subsidiaries Watera International, based in Luxembourg, and Watera S.A. (listed on Euronext Growth Paris) (the “Merger”). It should be noted that the Company currently holds 65% of the shares of Watera S.A. and 70% of Watera International, while it is estimated that following the merger, Unibios will hold 87% of Watera S.A.
This transaction supports the Group’s objective of simplifying and streamlining its structure, while simultaneously ensuring the consolidation of its activities in the water and wastewater treatment sector into a single entity listed on Euronext Growth Paris.
The Merger is part of a broader strategic plan for the Group’s further international growth and expansion. Specifically, it will highlight the Group’s true scale and help strengthen its position in the international market.
Key Terms of the Transaction
The transaction will consist of a merger by absorption of Watera International into Watera S.A.
In exchange for the contribution of all of Watera International’s assets and liabilities, the shares held by Unibios, as the largest shareholder of Watera International, will be exchanged for new common shares of Watera S.A., in accordance with the exchange ratio set forth in the merger agreement.
The proposed merger was approved by the boards of directors of Watera S.A. and Watera International on June 30, 2026. The merger agreement was signed on the same day.
Subject to the fulfillment of the customary conditions, which include, among other things, an audit by an independent auditor appointed by the competent court and approval by the General Meetings of Shareholders of the two merging companies, the Merger will take effect retroactively, for accounting and tax purposes, as of January 1, 2026.

In July 2025, the French company WATERA S.A. (formerly OSMOSUN), listed on the Euronext Growth stock exchange in Paris, joined the Watera Group, with Unibios acquiring 65% of its share capital.
WATERA S.A. operates in the water treatment market, specializing in the design and supply of desalination systems with a low energy footprint.
