The public offering for the listing of Capital Maritime Finance Corp on Euronext Athens will be conducted within a price range of €7 to €7.68, the company announced.
As is known, the public offering concerns an increase in the Company’s issued share capital out of its authorised share capital, paid in cash, through the issue of up to forty-two million (42,000,000) new ordinary registered voting shares (the “New Shares”), each with a nominal value of four US cents ($0.04), with no pre-emptive rights for existing shareholders (the “Capital Increase”). The aim is to raise approximately €250.0 million (or any other amount approved by a committee of the Board of Directors established specifically for this purpose (the Pricing Committee), up to a maximum of €300.0 million) through a public offering of the New Shares in Greece (the “Public Offering”) under a prospectus, as defined below, to qualified and retail investors within the meaning of Regulation (EU) 2017/1129 (the “Qualified Investors”, the “Retail Investors” and the “Prospectus Regulation”, respectively),
The Maximum Offer Price was set at €7.84 per New Share by the Joint Lead Managers, in consultation with the Company, and approved by a committee of the Company’s Board of Directors established specifically for this purpose (the Pricing Committee) on 6 October 2026.
The Offer Price Range was determined through a pre-marketing process, taking into account both conditions in capital markets in Greece and internationally and the financial position and prospects of the Company’s Group.
The offer price of the New Shares (the “Offer Price”) will be set within the Offer Price Range through the electronic book-building process. The Offer Price will be the same for all investors participating in the Public Offering, including Qualified Investors (among them Cornerstone Investors) and Retail Investors.
The Offer Price will be determined on the basis of bids submitted by Qualified Investors to the order book maintained by the Joint Lead Managers through the electronic book-building process (the “Book Building” process). This bidding process will apply to the portion of the Public Offering reserved for Qualified Investors and will take place at the same time as subscriptions by Retail Investors during the Public Offering.
After deducting issue expenses, estimated net proceeds from the issue of the New Shares, based on the Maximum Offer Price and assuming that the Company raises €250.0 million through the Capital Increase, are expected to amount to approximately €239.3 million.
The Offer Price will be notified to the Hellenic Capital Market Commission and published in accordance with the law no later than the next Business Day after the Public Offering closes. The final amount of capital raised and the final allocation of the New Shares will be determined at the same time as the Offer Price.
The Public Offering and the electronic book-building process will run for three (3) Business Days. Specifically, the Public Offering will open on 13 October 2026 at 10:00 a.m. Greek time and close on 15 October 2026 at 16:00 Greek time. The electronic book-building process will remain open during the Public Offering from 10:00 a.m. to 17:00 Greek time, except on 15 October 2026, when it will close at 16:00 Greek time.
