«ATTICA DEPARTMENT STORES S.A.» (the “Company”) informs investors that, pursuant to the resolution adopted by its Extraordinary General Meeting of Shareholders on 8 October 2026, the Board of Directors, by a resolution dated 8 October 2026, set 13 October 2026 as the start date for the Share Buyback Programme (the “Programme”) and appointed Piraeus Securities S.A. as its Lead Broker.
The Programme, approved under Article 49 of Law 4548/2018, provides for the acquisition of up to 1,504,040 ordinary registered shares, representing 2.5% of the Company’s paid-up share capital.
The Programme will run for twenty-four (24) months, from 8 October 2026 to 7 October 2028 inclusive, with a minimum purchase price of €2.50 and a maximum purchase price of €4.50 per share. According to the General Meeting’s resolution, the Programme is primarily intended to acquire shares for cancellation, with a corresponding reduction in share capital, and/or for distribution to the Company’s employees, in accordance with applicable legislation.
Any other specific, lawful use requires a decision by the competent corporate body and must serve the Company’s interests.
During the first purchase cycle, the Lead Broker will act on the Company’s behalf from 13 October 2026 to 11 December 2026 inclusive, to acquire up to 500,000 treasury shares for a total value of up to €2,250,000. Purchases will cease as soon as either of the two limits is reached, whichever comes first.
Purchases during this cycle count towards the Programme’s overall limit and will be made within the price range set out above.
Purchases will be conducted through Euronext Athens by Piraeus Securities S.A., acting independently and with full discretion over the timing and method of execution of individual transactions, without direction, influence or coordination from the Company in relation to execution decisions, within the approved parameters and in compliance with applicable price and volume rules.
Actual trading may begin only once the required disclosures and contractual, operational and regulatory steps have been completed. The Board of Directors may suspend, halt or terminate the Programme or individual purchase cycles, within the authorisation granted by the General Meeting.
Approval of the Programme does not require the Company to use the full permitted purchase limits.
