On 11 June 2025, the decision of the Bank’s Ordinary General Meeting of its shareholder dated 21 May 2025 was registered with the General Commercial Registry (G.E.MI.) under registration number 5399516 by the Companies Directorate, Department of Financial Institutions, Insurance Companies and Public Utilities of the Ministry of Development. The decision approved the establishment and implementation of the Stock Options Plan, as originally approved by the Ordinary General Meeting of Shareholders of the Absorbed Company on 31 July 2020, in connection with the completion of the Reverse Merger.
Since its original establishment, the purpose of the Plan has been to provide a means of paying the portion of variable remuneration payable to Beneficiaries in instruments, while aligning their incentives with the long-term interests of the Bank and its Group.
Participants acquire a direct equity interest in the Bank and link their performance to the future performance of the Bank and its Group as a whole, as reflected in the increase in the Bank’s share value.
To implement the Plan, the Board of Directors of the Absorbed Company, in resolutions dated 30 December 2020, 16 December 2021, 21 July 2022 and 15 December 2022, approved and amended the Plan Rules (hereinafter the “Rules”). Subsequently, as stated in the Absorbed Company’s announcement dated 22 July 2022, at its meeting on 21 July 2022 the Board of Directors of the Absorbed Company granted share options to Beneficiaries under the Performance Incentive Program (PIP) for the 2021 financial year.
Following the above decisions under the Performance Incentive Program for the 2021 financial year, during the exercise period for the share options granted—specifically, from 1 September 2026 to 15 September 2026—36 Beneficiaries exercised their share options and duly paid the relevant amount, within the deadline, into a special bank account held in the Bank’s name.
A total of 140,300 share options were exercised to acquire an equivalent number of the Bank’s ordinary registered dematerialised shares, with a nominal value of €0.29 per share and an exercise price of €0.29 per share.
The purchase price of the above shares was duly paid in cash and amounted to a total of €40,687.00. The share options exercised, and the corresponding shares to be issued following the Bank’s share capital increase, represent 0.006% of the Bank’s existing share capital.
By a decision dated 30 September 2026, the Bank’s Board of Directors increased the Bank’s share capital by €40,687.00 through a cash payment and the issue of 140,300 new ordinary registered shares, each with a nominal value of €0.29.
This decision was registered with the G.E.MI. on 13 October 2026 under registration number 6242546 by the Companies Directorate, Department of Financial Institutions, Insurance Companies and Public Utilities of the Ministry of Development.
Following the above share capital increase through a cash payment, the Bank’s share capital amounts to €654,351,248.35, divided into 2,256,383,615 ordinary registered voting shares, each with a nominal value of €0.29.
The above 140,300 new shares will be issued in the names of the Beneficiaries who are employees of the Bank and its affiliated companies and who exercised the share options.
The Bank will follow the procedure for admitting the above new shares to trading on Euronext Athens, in accordance with the Euronext Athens Rulebook and the relevant decisions of the Board of Directors of Euronext Athens. The new shares are expected to be admitted to trading on the second business day following approval of their admission.
