ALPHA BANK S.A. announces that trading in 140,300 new ordinary registered dematerialised shares of the Bank will begin on Euronext Athens on 19 October 2026. The shares were issued following a recent €40,687.00 increase in the Bank’s share capital, resulting from the exercise of Stock Options by 36 Beneficiaries, pursuant to the resolution of the Bank’s Ordinary General Meeting on 21 May 2025. In view of the completion of the Reverse Merger (that is, the merger by absorption of Alpha Services and Holdings (the “Absorbed Company”) by the Bank), the meeting approved the Stock Option Plan, as originally approved by the Absorbed Company’s Ordinary General Meeting of Shareholders on 31 July 2020 (the “Plan”). It also decided that the Plan would continue to be implemented for the two remaining vesting periods after completion of the Reverse Merger (namely, September 2025 and September 2026). The options were granted under the relevant resolution of the Absorbed Company’s Board of Directors dated 21 July 2022 to certain members of staff of the Absorbed Company and its affiliated companies under the Performance Incentive Program (PIP) for the 2021 financial year.
On 13 October 2026, the increase in the Bank’s share capital of €40,687.00, paid in cash and effected through the issue of 140,300 new shares with a nominal value of €0.29 each, was registered with the General Commercial Registry (G.E.MI.) under registration number 6242546 by the Directorate of Companies, Department of Financial Institutions, Insurance Companies and Public Utilities of the Ministry of Development, acting as the competent supervisory authority.

The new shares will begin trading on Euronext Athens on 19 October 2026. On the same date, they will be credited to the securities accounts of the beneficiary shareholders in the Dematerialised Securities System (DSS).
