“ALPHA TRUST – ANDROMEDA Portfolio Investment Company S.A.”, following approval of its five-year dividend reinvestment programme (2023–2028) (the “Programme”) by the Extraordinary General Meeting of 26.07.2023, informs investors of its extraordinary share capital increase of up to €365,259.20 through the issue of up to 106,180 new ordinary registered voting shares. The increase was approved by the Company’s Board of Directors at its meeting on 09.09.2026, following authorisation by the aforementioned Extraordinary General Meeting under Article 24(1)(b) of Law 4548/2018.
In this connection, the Company informs the public, in accordance with Article 1(5)(g) of Regulation (EU) 2017/1129, as follows:
Under the Programme, the Company gave shareholders the option of receiving their full share of the dividend from the distribution of profits from previous financial years in cash, reinvesting that amount in the Company, or combining the two options by receiving part of their share of the profits in cash and reinvesting the balance in the Company in return for shares. This gave the Company the opportunity to make further use of its cash resources to implement its long-term investment plans with the aim of maximising its value.
Specifically, the Company gave those entitled to the dividend—namely, shareholders whose holdings were recorded in the records of the Central Securities Depository (S.A.T.) on 13.10.2026 (the record date)—the option, during the period from 14.10.2026 to 27.10.2026 inclusive, of receiving their dividend as described above at their discretion, in the form of whole Company shares, either in full or in part.
The issue price of the new shares (the weighted average price) was calculated by dividing the sum of the closing price multiplied by the number of shares for each day by the total daily trading volume over the period 14.10.2026–20.10.2026 (excluding block trades).
Based on the confirmation from Euronext Athens, the issue price was set at €8.186, to which a 1% discount was applied, bringing it to €8.10.
All the new shares will be ordinary registered voting shares and will be entitled to participate in any future dividend payment, as well as in the five-year dividend reinvestment programme approved by the Company’s Extraordinary General Meeting of Shareholders on 26.07.2023. Following the above, participation in the dividend reinvestment programme amounted to 11.14% of the Company’s total share capital, excluding treasury shares.
In accordance with the relevant instructions from eligible shareholders, a total of one hundred and four thousand three hundred and thirty-six euros and ten cents (€104,336.10) was reinvested in the Company, while the remaining amount of eight hundred and thirty-four thousand two hundred and seventy-nine euros and fourteen cents (€834,279.14) will be paid to eligible shareholders in cash.
Following the dividend reinvestment and partial subscription of the share capital increase, the Company’s Board of Directors, by its decision of 02.11.2026, which certified payment of part of the extraordinary share capital increase by way of set-off, made the corresponding amendment to Article 5 of the Company’s articles of association to reflect the share capital following the partial subscription of the increase.
Specifically, the Company’s share capital increased by forty-four thousand three hundred and ten euros and sixty-four cents (€44,310.64), through the issue of 12,881 new ordinary registered voting shares, to a total of twelve million nine hundred and fifty-nine thousand nine hundred euros and seventy-two cents (€12,959,900.72), divided into 3,767,413 ordinary registered shares with a nominal value of €3.44 each.
The total share premium on the new shares, amounting to sixty thousand and twenty-five euros and forty-six cents (€60,025.46), was credited to the “Paid-in share premium” account.
