The Annual General Meeting of Shareholders of ELLAKTOR S.A. (hereinafter the “Company”), held on June 30, 2026, approved the distribution of a total dividend for the 2025 fiscal year amounting to €191.5 million.
It should be noted that of this amount, €174.1 million has already been distributed as an interim dividend for the 2025 fiscal year (paid on December 31, 2025), i.e., €0.50 per share (corresponding to a net amount of €0.475 per share).
Consequently, the remaining gross dividend amount for the 2025 fiscal year totals €17,409,600.25, before withholding tax, and corresponds to a gross amount of €0.05 per share. The remaining dividend is subject to a 5% withholding tax, if applicable, in accordance with the provisions of Articles 61, 62, and 64 of Law 4172/2013, as currently in force. Consequently, shareholders will receive a net residual dividend for the fiscal year 2025 of €0.0475 per share.
Treasury shares held by the Company as of the dividend record date are not entitled to a dividend, and the corresponding amount will be added to the dividends of the other eligible shareholders, in accordance with the law and the Operating Regulations of EURONEXT ATHENS.
Starting Monday, July 20, 2026 (ex-dividend date), the Company’s shares will trade on EURONEXT ATHENS without entitlement to the remaining dividend for the 2025 fiscal year.
Shareholders of the Company who are registered in the records of the Central Securities Depository (CSD) on Tuesday, July 21, 2026 (record date) are entitled to the remaining dividend for the 2025 fiscal year.
Payment of the remaining dividend for the 2025 fiscal year to eligible shareholders will begin on Friday, July 24, 2026 (payment date), by the paying bank “ALPHA BANK S.A.” as follows:
Through the beneficiaries’ participants in the Central Securities Depository (banks, custodians, and brokerage firms), in accordance with the applicable Operating Regulations and the relevant decisions of Euronext Securities Athens.
Specifically, in cases where dividends are paid to the heirs of deceased beneficiaries whose securities are held in their Special Share Account in the Central Securities Depository (CSD), under the administration of Euronext Securities Athens, the dividend payment process will be carried out after the heirs’ eligibility has been verified through the branch network of “ALPHA BANK S.A.” for a period of five (5) years from the end of the current year (i.e., until December 31, 2031).
It is hereby clarified to the shareholders that: a) the right to collect the remaining dividend is barred after the expiration of five years (Civil Code Article 250, paragraph 15) from the end of the year in which the claim arose, and b) following the relevant statute of limitations, the amounts in question are definitively transferred to the Greek State in accordance with Article 1 of Legislative Decree 1195/1942.
