The company “BIOCARPET SOCIETE ANONYME INDUSTRIAL AND COMMERCIAL ENTERPRISES,” trading under the name “BIOCARPET S.A.,” hereby announces that the Ordinary General Meeting of Shareholders held on May 27, 2026, unanimously approved a reduction in the Company’s share capital by the amount of €719,595.00.
The share capital reduction will be carried out through a corresponding reduction in the par value of each share from €1.00 to €0.97 and a capital return via a cash payment to shareholders of €0.03 per share.
Following this reduction, the Company’s share capital amounts to €23,266,905.00 (twenty-three million two hundred sixty-six thousand nine hundred five euros), divided into 23,986,500 (twenty-three million nine hundred eighty-six thousand five hundred) common registered shares, with a par value of €0.97 each.
The Ministry of Development and Investment—General Secretariat for Commerce, General Directorate for Markets and Consumer Protection, Directorate of Companies, Department of Listed Public Limited Companies—by its decision No. 4109244 AP/June 12, 2026 (ADA: 93ΨΒ46ΝΛΣΞ-Δ0Ξ), approved the amendment to the relevant article of the company’s Articles of Incorporation. On June 30, 2026, the Euronext Athens Stock Exchange approved the reduction of the par value of the company’s shares, with a capital return via a cash payment to shareholders in the amount of €0.03 per share.
Consequently, as of August 24, 2026, the company’s shares will be traded on the Euronext Athens stock exchange at the new par value of €0.97 per share and without the right to participate in the capital return through a cash payment to shareholders of €0.03 per share.
As of the same date, the opening price of the company’s shares on the Euronext Athens stock exchange will be determined in accordance with the Euronext Athens Stock Exchange Regulations, in conjunction with Decision No. 26 of the Board of Directors of the Euronext Athens Stock Exchange, as currently in effect. Shareholders who are registered in the Central Securities Depository (CSD) records as of August 25, 2026, for the listed company in question are eligible for the capital return. The start date for the payment of the capital return is set for August 28, 2026.
The capital repayment will be made through the public limited banking company named “Piraeus Bank S.A.” as follows:
- Through the participants of the beneficiaries in the Central Securities Depository (banks and brokerage firms), in accordance with the applicable Operating Regulations of EURONEXT SECURITIES ATHENS S.A. and the corresponding decisions of Euronext Securities Athens.
- Specifically, in cases where the capital refund is paid to the heirs of deceased beneficiaries whose securities are held in their Special Account within the DSS, under the administration of Euronext Securities Athens, the capital repayment process will be carried out after the heirs’ claims have been validated through the branch network of “Piraeus Bank S.A.”
