It is announced by the company “BIOKARPET SOCIETE ANONYME INDUSTRIAL AND COMMERCIAL ENTERPRISES” and distinctive title “BIOKARPET S.A.”. that the Annual General Meeting of its shareholders on 27.05.2026 unanimously approved the reduction of the Company's share capital by the amount of €719,595.00.
The reduction of the share capital will be carried out through a corresponding reduction in the nominal value of the share from €1.00 to €0.97 and a capital return through cash payment to shareholders of an amount of €0.03 per share.
After the present reduction, the Company's Share Capital amounts to €23,266,905.00 (twenty-three million two hundred sixty-six thousand nine hundred five euros), divided into 23,986,500 (twenty-three million nine hundred eighty-six thousand five hundred) common registered shares, with a nominal value of €0.97 each.
The Ministry of Development and Investments – General Secretariat of Commerce General Directorate of Market & Consumer Protection – Directorate of Companies Listed S.A. Department, with its Decision No. Prot. 4109244 AP/12.06.2026 (ADA: 93ΨΒ46ΝΛΣΞ-Δ0Ξ), approved the amendment of the relevant article of the company's Articles of Association. The stock exchange Euronext Athens on 30.06.2026 approved the reduction of the nominal value of the company's shares, with a capital return through cash payment to shareholders of an amount of €0.03 per share.
Following the above, as of 24.08.2026 the company's shares will be traded on the Euronext Athens stock exchange. with the new nominal value, €0.97 per share and without the right to participate in the capital return through cash payment to shareholders of an amount of €0.03 per share.
From the same date, the opening price of the company's shares on the Euronext Athens stock exchange will be determined in accordance with the Regulation of the Euronext Athens stock exchange in conjunction with decision no. 26 of the Board of Directors of the Euronext Athens stock exchange, as in force. Beneficiaries of the capital return are the shareholders who will be registered in the records of the S.A.T. on 25.08.2026 for the said listed company. The date of commencement of payment of the capital return is set as 28.08.2026.
The capital return will be carried out through the Banking Société Anonyme under the name “Piraeus Bank S.A.” as follows:
- Through the Beneficiaries' Participants in the S.A.T. (Banks and Brokerage Firms), in accordance with the applicable Operating Regulation of EURONEXT SECURITIES ATHENS S.A. and the relevant decisions of Euronext Securities Athens.
- Especially in cases of payment of the capital return to heirs of deceased beneficiaries, whose securities are kept in the Special Account of their Portion in the S.A.T., under the management of Euronext Securities Athens, the process of payment of the capital return will be carried out after the completion of the legalization of the heirs, through the branch network of “Piraeus Bank S.A.”.
